甲方：Hermestos Defense Company

乙方：SMD超现实管制处

甲、乙双方根据《[已编辑]合同法》的相关规定，本着真诚合作，互惠互利的原则，经过友好协商，就项目合伙经营相关事宜达成以下协议：

甲乙双方工作中不得越权操作，且应认真履行应尽义务。

1、合作因以下事由之一得终止：①合作期届满;②甲乙双方同意终止合作关系;③合作事业完成或不能完成;④合作事业违反[已编辑]法律被撤销;⑤[已编辑]根据有关[已编辑]请求判决解散。

2、合作终止后的事项：
①即行推举清算人，并邀请中间人(或公证员)参与清算;
②清算后如有盈余，则按收取债权、清偿债务、返还出资、按比例分配剩余财产的顺序进行。固定资产和不可分物，可作价卖给合作对方或第三人，其价款参与分配;
③清算后如有亏损，不论甲乙双方出资多少，先以合伙共同财产偿还，合伙财产不足清偿的部分，由合伙人按出资比例承担。

• 七、纠纷的解决甲乙双方如发生纠纷，应共同协商，本着有利于合作事业发展的原则予以解决。如协商不成，可以诉诸。
• 八、本书正本一式两份，甲乙双方各执一份，签字即生效。
